Calon provides AI consultancy, automation, and software development services to UK businesses. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate Statement of Work or service agreement signed by both parties.

These Terms apply to all engagements unless superseded by a more specific written agreement.

3. Intellectual Property

Our IP

All content on this website — including text, graphics, logos, and software — is owned by or licensed to Calon AI Solutions Ltd. Nothing on this site grants you a licence to use our intellectual property without our written consent.

Client deliverables

Unless otherwise agreed in writing, upon receipt of full payment, intellectual property rights in custom deliverables created specifically for you transfer to you. We retain rights to any pre-existing tools, frameworks, or methodologies used in delivery.

4. Limitation of Liability

To the maximum extent permitted by UK law:

  • We provide this website "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential loss arising from your use of this website
  • Our total liability to you in connection with any service engagement shall not exceed the fees paid by you for the relevant engagement in the preceding 12 months

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

5. Payment Terms

Unless otherwise agreed in writing:

  • Invoices are due within 14 days of issue
  • We reserve the right to charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998
  • We may suspend services for overdue invoices after providing reasonable written notice

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during an engagement, and not to disclose it to third parties without the other party's consent, except as required by law.

7. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant Statement of Work. In the absence of a specified notice period, 30 days written notice applies. You remain liable for fees for work completed prior to the effective termination date.

8. Governing Law

These Terms and any disputes arising from them are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to These Terms

We may update these Terms from time to time. The date at the top of this page indicates when they were last revised. Continued use of the website constitutes acceptance of any updated Terms.
